GENERAL SALES TERMS AND CONDITIONS - VACANCEOLE

Preamble These terms and conditions bind VACANCOLE VOYAGES 54 Voie Albert Einstein – Batiment ERIS – Parc d’Activités ALPESPACE - 73800 PORTE DE SAVOIE - to its customers and apply in the context of the regulations in force and, in particular, the part of the Livre II of the Tourism Code setting out the conditions for carrying out activities relating to the organization and sale of trips or stays. Travel License N ° IM073160002 - Financial Guarantee - CIC LYONNAISE DE BANQUE - Professional Liability Insurance GENERALI IARD (contract N ° AP 694336) of € 2,500,000.

Article 1 - Booking and conclusion of the contract
1.1 - Booking conditions:
Your reservation can be made:

The contract sent by VACANCÉOLE VOYAGES within the period specified in article 1.2 is completely formed when it is accepted by the Customer. This contract will specify in particular the rates, the services subscribed, the dates of the stay, the number of participants, the amount to be paid ... The total or partial payment of the stay makes your reservation definitive. 1st case: you pay the down payment and / or the balance of the amount of the stay by credit card at the moment of your registration by phone or internet. 2nd case: you can use another method of payment: upon receipt of your option contract you will have a period of time defined in your option contract to send us your payment and confirm your reservation. After this time, your reservation will be automatically canceled.

1.2 - The rules of the stay:
a. RENTAL tourism stay in a residence in France: In case of booking more than 60 days before the beginning of the stay, a deposit of 30% of the total amount of the stay will be requested. The reservation will be final only after receipt of this deposit within the maximum period defined by the option contract. A second deposit of 30% will be requested 60 days before the beginning of the stay. The balance must be paid 30 days before the beginning of the stay at the latest. In case of booking between the 60th and 30th day before the beginning of the stay, the amount of the deposit requested is 60% of the total amount of the stay. The balance must be paid 30 days before the beginning of the stay at the latest. If the reservation is made 30 days or less before the start of the stay, the payment of the full price of the stay will be required in order to confirm the reservation. A last-minute reservation made by telephone at the request of the customer implies acceptance of the general conditions of sale that the customer acknowledges having read and accepted.

b. Trips made-to-measure: If booking more than 75 days before the start of the stay, a deposit of 30% of the total amount (except the flight rates) and 100% of the flight rate will be requested. The reservation will be final only after receipt of this deposit within the maximum period defined by the option contract. A second down payment of 30% will be requested 75 days before the beginning of the stay. The balance must be paid 45 days before the start of the stay at the latest. In case of booking between the 75th and 45th day before the beginning of the stay, the amount of the deposit requested is 60% of the total amount (excluding the flight rate) and 100% of the flight rate. The balance must be paid 45 days before the start of the stay at the latest. If the reservation is made 45 days or less before the start of the stay, the payment of the full price of the stay will be required in order to confirm the reservation. A last-minute reservation made by telephone at the request of the customer implies acceptance of the general conditions of sale that the customer acknowledges having read and accepted.

c. HOTEL/COMFORT OPTION for tourism stay in France: 1/Stay with a NA/NR rate: non refundable, non cancellable, non modifiable. The payment for the stay will be made in full at the moment of booking. In case of payment by traveller’s checks it will be necessary to make a pre-payment to block the stay and send your holiday checks by registered mail to VACANCEOLE VOYAGES. 2/Stay with a FLEXIBLE price: In case of booking more than 30 days before the beginning of the stay, a deposit of 30% of the total amount of the stay will be requested. The reservation will be final only after receipt of this deposit within the maximum period defined by the option contract. The remaining balance must be paid 7 days before the beginning of the stay at the latest. If the reservation is made 30 days or less before the start of the stay, the payment of the full price of the stay will be required to confirm the reservation. A last-minute reservation made by telephone at the request of the customer implies acceptance of the general conditions of sale that the customer acknowledges having read and accepted. All reservations must be fully paid before arrival on site. Traveller’s checks must be made payable to VACANCOLE VOYAGES (name and address of the provider) and sent by registered mail to the address VACANCÉOLE VOYAGES - 54 Voie Albert Einstein – Batiment Eris – Parc d’Activités ALPESPACE - 73800 PORTE DE SAVOIE. Traveller’s checks are accepted only for bookings made directly with the booking centre or via the website www.vacanceole.com. Traveller’s checks are accepted as payment of the deposit or the balance of the invoice.

1.3 - No show on site In absence of information from you, your accommodation will no longer be considered available from the midnight on the day of your arrival.

Article 2 - Rates
2.1 - Determination of rates The prices listed on the website www.vacanceole.com are established on the basis of the economic conditions at 01/12/2015. They are subject to change depending on economic conditions or new regulatory decisions. To the price of the rental or package will be added: - The amount of services (available on the website) chosen in addition to the rental price.

Tourist tax: this tax is regulatory and must be paid to the municipality, through VACANCOLE VOYAGES. It varies according to the place and the period of the stay and has to be paid on the site. The additional services will appear on the invoice and will have to be paid with the balance of the stay. The customer will be able to use on place additional services not listed on this contract that will be billed to him at the end of his stay. For the application of children rates, as defined on the website, the age taken into consideration is the one on the first day of stay. An identity document may be requested to validate these preferential tariff conditions. Theme and promotional stays detailed on the website are an indivisible product that can not be adjusted in terms of services or prices.

2.2 - Changes of rates The indicated rates are valid on the dates listed on the website. They are based on economic and fiscal data in force on the date of price fixing. If case of variation of the VAT, VACANCOLE VOYAGES reserves the right to pass on the said variation on the price of the stay. In this case, the customer can, without prejudging remedies for compensating possible damages and after having been informed by VACANCOLE VOYAGES by registered mail with acknowledgment of receipt: - either cancel his contract and obtain the refund without penalty amounts possibly paid; - accept the modification or substitute stay proposed by VACANCOLE VOYAGES. An amendment to the contract specifying the modifications made is then signed by the parties; any decrease in price is deducted from any possible due amount by the buyer and, if the payment has already been made by the latter exceeds the price of the modified service, the over payment will be refunded before the date of departure. The customer must inform VACANCÉOLE VOYAGES of their decision within seven days upon receipt of the notification concerning the significant increase of the price by registered mail with acknowledgment of receipt. If there is no answer within the time limit, the change will be considered accepted.

2.3 - Promotional tariff reductions: VACANCOLE VOYAGES reserves the right to organize promotional operations in compliance with the regulations in force. The rates applied in these operations are valid only in accordance with the specific conditions of sale related to these transactions and can not be granted for sales made apart from these. These promotions are in no way retroactive or valid after the expiry date of the offer.

2.4 - Processing fees Each reservation gives rise to the receipt by VACANCÉOLE TRAVEL VOYAGES of the application fees: - Reservations with rental or travel option via the call centre: € 21; - Reservations on the site www.vacanceole.com with rental option: € 15; - Reservations with hotel/comfort option: booking fees offered. These fees can not, under any circumstances, be the subject of a refund.

Article 3 - Conduct of the stay
3.1 - Duration of stays arrivals / departures: Stay in tourist residence: The accommodations are available on the day of arrival from 5 pm and must be vacated by 10 am on the last day of the stay. In case of arrival after 7 pm or on the closing day of the reception, it is imperative to inform the host residence in order to give the indications for the procedureof handing over the keys of the accommodation (organization of your reception, transmission of access codes).

3.2 - Deposit: Stay in tourist residence: On the day of the arrival a deposit of between 300 € and 900 € (depending on the destination) is requested and returned on departure, after the payment of optional services and deductions from possible costs incurred for damage to housing or equipment rented during the stay. An inventory is planned on the day of the departure. For the arrival, it will be proposed to the customer to perform it themselves, by asking them to report the same day to the manager or to the responsible for the reception, any defects found. In case of nocturnal or anticipated departure without contradictory inventory possible, the security deposit shall be retained and returned at a later date subject to possible deductions for cleaning or repairs. The decision of a departure without inventory is equivalent to an acceptance of the decision of VACANCOLE VOYAGES.

3.3 - Good to know

3.3.1 Services included in the stay
a. Stay in rental option: The supply of towels and bed linen is not included in the price of the accommodation for stays in rental option. Possibility of renting these services at the residence. For certain residences, these services are included (information to verify with the call centre of VACANCEOLE VOYAGES or on our website: www.vacanceole.com). The cleaning of the accommodation is a responsibility of the holidaymakers. A package end-of-stay cleaning is available (except crockery and kitchen area) with supplement. It can be booked at the time of your reservation or at the on-site reception.

b. Stay in hotel/comfort option: The supply of towels and bed linen is included. The end-of-stay cleaning is included except for the kitchen area and the dishes which must be handled over clean. Otherwise VACANCEOLE VOYAGES reserves the right to withhold costs of € 50.

3.3.2 Outside visitors Any external visitor must be known to the reception upon arrival. An identity document can as such to be requested.

3.3.3 Sleeping capacity in the accommodation The number of people present in the accommodation must not exceed the maximum sleeping capacity. Exception made for babies under two years old. These are not considered as occupants. For babies, the age taken into consideration is the age on the first day of stay. An identity document may be required for this purpose validate these conditions of occupation.

Article 4 - Modification/Cancellation of stay
4.1 - Conditions of modification or cancellation due to the client:

4.1.1 Modification: Any modification of the initial reservation made by the customer, concerning one of the following 4 points: - place of stay - dates of stay - type of accommodation - stay option is equivalent to a cancellation of the initial reservation and to a new booking. In this case, the cancellation conditions for the initial reservation apply automatically.

a. For stays in tourist residences in France on RENTAL: - More than 60 days before the arrival date: 20% of the total amount will be retained; - Between 60 days and 31 days before the arrival date: 30% of the total amount will be retained; - Between 30 and 21 days before the arrival date: 70% of the total amount will be retained; - Between 20 and 14 days before the arrival date: 90% of the total amount will be retained; - Less than 14 days: 100% of the amount of the stay will be retained. Any shortened stay as well as any service voluntarily abandoned by a participant is not subject to any reimbursement, for whatever reason. b. For stays in tourist residence in France on HOTEL/COMFORT OPTION:

b. For stays in tourist residence in France on HOTEL/COMFORT OPTION: 1/stay with a NA / NR rate: non-refundable non cancellable. The stay will under no circumstances be refundable, modifiable or cancelled. In case of cancellation the retained costs will be 100% of the stay whatever the reason or the date of cancellation retained. 2/Stay with a FLEXIBLE price: In case of cancellation the costs will be determined according to the date of cancellation and the concerned residence:

3/For MADE-TO-MEASURE TRIPS: - More than 60 days before the arrival date: 25% of the total amount of all options (except flight rate) will be retained; - Between 60 days and 31 days before the arrival date: 30% of the amount total of all options (except flight rate) will be retained; - Between 30 and 21 days before the arrival date: 70% of the total amount of all options (except flight rate) will be retained; - Between 20 and 14 days before the arrival date: 90% of the total amount of all options (except flight rate) will be retained; - Less than 14 days: 100% of the total amount of the stay, and the total amount of the flight rate will be retained in full. Any shortened stay as well as any voluntarily abandoned service by a participant is not subject to any reimbursement, for whatever reason.

4.2 - Conditions of modification or cancellation due to VACANCOLE VOYAGES: VACANCOLE VOYAGES may have to modify or cancel a stay or activity in the event of insufficient participation or external events beyond its control. Furthermore, despite all the attention paid to the creation of the website, errors may occur. Also, in case of mistakes or omissions on its website, VACANCOLE VOYAGES reserves the right of rectification. However this right can not call into question the reservations made before the date of rectification. These would be maintained according to the conditions known to the customer at the moment of his initial reservation. Depending on the case, the regulatory part of Livre II of the Tourism Code applies automatically. If VACANCOLE VOYAGES were to cancel the stay chosen by the Customer, the latter will be offered, in the most promptly and by registered letter, a substitution. The customer must, within seven days of the notification, has to inform about their acceptance or refusal of the said proposal. In the absence of response within these deadlines, the customer will be considered as having accepted these substitutions. The price corresponding to these services will therefore be due.

In case the Customer refuses, within the deadline, this proposal, VACANCOLE VOYAGES will refund the full amount paid by the customer, keeping into consideration the damages and interest the customer could claim. VACANCOLE VOYAGES may however cancel the stay without having to respect the procedure described above in three hypotheses: - if the minimum number of 10 registered participants for themed stays is not reached. - if the minimum number of 20 registered participants for the opening of a VACANCÉOLE VOYAGES residence is not reached. - cancellation may take place no later than 21 days before departure if the cancellation is attributable to a case of force majeure, namely political instability, acts of terrorism, insurgencies, strikes, explosions, natural disasters, etc.

Article 5 - Assignement of the contract
The customer(s) can assign the contract before departure. The latter will imperatively have to inform VACANCÉOLE VOYAGES, by registered mail no later than seven days before the start of the stay: - indicating the name (s), first name (s) and address (es) of the assignees and the participants in the stay; - guaranteeing that they fulfill the same conditions as him to make the stay. For stays in tourist residences in France, this transfer will result in an additional charge of € 20. For made-to-measure trips, this transfer will result in billing additional €50 for an assignment more than 30 days before departure, €100 between 30 and 8 days before departure. Concerning the trips including flight rate the additional billing will correspond to the costs of full repurchase of airline tickets.

Article 6 - Insurance
6.1 - Responsibility: In any case, VACANCOLE VOYAGES can not be held responsible for circumstances of force majeure, due to third parties involved in the provision of the services planned in the contract or the poor performance of the contract attributable to the customer. It is also specified that the additional services, as well as the ones pre and/or post transportation according to the customer's initiative are in any case the responsibility of external service providers in charge of their organization. We advise you to be covered in civil liability (body injury or property damage) and as a holiday flight warranty. There is no individual insurance included in your reservation. Our insurance covers our responsibilities in accordance with the Regulation of Livre II of the Tourism Code laying down the conditions of the activities related to the organization and sale of trips or stays.

6.2 - Robbery - Damages: Residence renting is not part of the hotels actors’ responsibility. As a result, VACANCOLE VOYAGES can not be held responsible for loss, theft or damage of personal items both inside and outside the facilities (housing, common premises, car parkings, recreational areas). It is not recommended to bring valuable objects or big sums of money.

6.3 – Cancellation Insurance / interruption / multi-risk Extract of the contract N°42039202L which can not engage Vacanceole and GRITCHEN Affinity/ALLIANZ outside the limits specified by the clauses and conditions of the insurance contract to which it refers. In accordance with the special conditions of the policy n°42039202L concluded with ALLIANZ, any reservist may claim, in case of cancellation, the refund of invoiced cancellation fees (deduction done from the insurance premium, from the administrative costs and from the excess amount). The cancellation, notified before your departure, must be subsequent to the occurrence, subsequent to the subscription of insurance, of one of the following events formally preventing your departure.

Events covered by the insurance in case of cancellation (subject to acceptance of the file): - Serious illness ; - Serious accident or death; - Complications due to pregnancy; - Economic redundancy; - Convocation before a court, only in the following cases: - Convocation for the adoption of a child, - Destruction of professional or private premises; - theft in professional or private premises; - Serious damage to your vehicle; - Elimination or modification of paid holidays due to the employer; - Job transfer.

Events covered in case of interruption (subject to acceptance of the file): - serious illness, serious accident or death. - serious damage due to fire, explosion, water damage - Theft in business or private premises provided that the importance of this action requires your presence. On rental the interruption insurance is granted on the condition that the rental is totally freed.

Events covered for lack of snow (subject to have done the multi-risk insurance) (subject to acceptance of the file): - Closure of the ski area - Partial or total closure of the ski area must be consecutive to a snow defect or excess of snow on the site. If within 48 hours before or after scheduled date of the beginning of the stay, more than 70% of the ski area is closed following the snow report mentioned here. This insurance can only be applied for stations (departure from ski slopes) of more than 1200 meters (excluding SEIX).

Insurance in case of repatriation (subject to having subscribed the multi-risk insurance) (subject to acceptance of the file) During the incident, in order to benefit from all the defined guarantees, it is imperative to contact prior to any intervention, the Assistance Centre of the insurer. A file number will then be delivered, which alone will justify taking over the interventions.

Events always excluded: - epidemics, natural disasters and pollution; - Civil or foreign war, riot or movement or a strike, an attack and an act of terrorism; - Voluntary participation of an insured person in riots or strikes; - Alcoholism, drunkenness, drug use, narcotics, medications not prescribed medically; - any intentional act that may result in the guarantee; - Duels, bets, crimes, brawls (except legitimate defense); - The practice of the following sports: bobsleigh, skeleton, mountaineering, competition sled, aerial sports except parachute as well as those resulting from a participation or training in official matches or competitions, organized by a sports federation; - Suicide and the consequences of suicide attempts; - absence of hazard.

To do in case of cancellation / interruption In case of disaster, you must inform VACANCEOLE VOYAGES by registered mail with acknowledgment of receipt after having specified the reason for your cancellation and attach any necessary proof to the documents. The remaining costs are the premium insurance, the fees and the franchise. To note: the information above are not contractual, an insurance notice detailing the warranties and exclusions will be attached to your reservation contract.

Cancellation / interruption insurance rate: 4% of the total amount of the stay.

Multi-risk insurance cancellation rate: 5.5% of the total amount total of the stay.

6.4 - Liability insurance
Extract of the contract N ° AP694336 which can not engage Vacanceole and GENERALI IARD outside the limits specified by the clauses and terms of the insurance contract to which it refers.

Professional Liability insurance The "Professional Civil Liability" insurance, provided by GERENALI IARD, insurance contract n ° AP694336 concluded with GENERALI IARD on 01.10.2017, is 2 5000 000 €. This "Professional Liability Insurance" covers only the journeys and stays as defined in the Livre II of the Code of tourism and therefore subject to registration and insurance. On the other hand, it does not cover activities non-subject to this obligation.

Article 7- After-sales
7.1 - Complaint Any complaint concerning a trip or a stay must be sent by registered m ail with acknowledgment of receipt to VACANCIE VOYAGES, quality service. This claim will be reported on the spot and by written form to the person in charge of the VACANCÉOLE VOYAGES residence. To be taken into account, this claim must reach VACANCÉOLE VOYAGES at latest thirty days after the end of all services .

7.2 - Litigation It is expressly agreed between VACANCOLE VOYAGES and the client that Chambéry 73 court will be solely competent, in case of litigation of any kind, interpretation, execution or breach of contract and more regarding the between the parties, , unless VACANCEOLE VOYAGES does not prefer to seize any other competent court: - for contractual issues, the jurisdiction of the place of actual happening of events or performance of the service; - action in tort, the jurisdiction of the place of the harmful event or the one in whose jurisdiction the damage was suffered from; - in mixed matters, the jurisdiction of the place where the building is located; - in matters of maintenance or contribution to the expenses of the marriage, the jurisdiction of the place where the creditor lives.

Article 8 - Online Selling
8.1 - Validation of the sale
The reservation of a stay in a tourist residence can be done directly by the customer on the website VACANCOLE VOYAGES: www.vacanceole.com. For validation, the customer will be asked a minimum payment of the deposit by credit card (the entire stay if less than 30 days before arrival). Without payment, the booking can not be considered under any circumstances as confirmed. The booking of made-to-measure trips can be made only via the call centre, a quote can be requested on the site internet VACANCOLE VOYAGES: www.vacanceole.com.

8.2 - Right of withdrawal

    Sitting at the foot of the infamous Col du Galibier mountain pass in the 'Golden Valley', Residence Le Hameau de Valloire is the dream location for those who want fantastic downhill skiing and breath-taking views of the mountains. Just 1.5km from the ski lifts and centre of Valloire resort, the chalet-style buildings are decorated with inviting Alpine decor that lends their lovely apartments an elegant and comfortable atmosphere. With an indoor heated pool, steam room and hammam in the residence, it is the perfect place to relax after a long day on the slopes.

    Residence Le Hameau de Valloire has a range of apartments sleeping from 2 to 10 people, all designed incorporating gorgeous wooden furnishings and warm colours. Each apartment comes with a fully equipped kitchen with a fridge, hob, dishwasher and anything else you might need, as well as access to the residences swimming pool, sauna, steam room, fitness room as well as a squash court and table tennis. Complimentary ski lockers mean you can get straight onto the slopes without a problem, just hop onto the free shuttle bus that runs down to the resort every 30 minutes.

Ski & Equipment Hire

The last thing you want to do at the start of your holiday is queue up in a crowded ski hire shop. We understand this and that is why we offer to pre-book all your equipment so that it is ready and waiting for you. You can either collect it from the shop yourself or some shops even offer a chalet fitting service, where all the equipment will be brought around to the chalet, thus avoiding the ski hire shop completely. Ski School

Ski school can be a real hassle to organise so let us do all the hard work for you. We have built relationships with the top ski schools in most ski resorts and we can book lessons for all ability levels, both private and group lessons. For Christmas, New Year, Russian New Year and February Half Term, we strongly advise pre-booking your lessons as soon as possible as the group lesson and private lesson slots get booked up very quickly. Transfers

Tourist Tax

Is not included and, on chalet bookings, will be added to your confirmation invoice. Local Tourist Tax for Hotels & Apartments is payable directly to the supplier in resort.

Damage/Security Deposits

Each chalet booking requires a deposit of between £250 & £500 which is held as security against any damages, breakages or monies owing to Powder White. Details of this will be shown on your Confirmation Invoice and further information can be found in our Terms section. Apartment Residences vary so please enquire at time of booking.
